The Agam company – undertakes to behave and act honestly and fairly in the management of its business. The company, for all its employees and managers, believes that uncompromising ethical conduct is key to gaining the trust of customers, business partners, suppliers, and employees, and is crucial to the existence of the company and its long-term success.

The company expects all its employees to behave in accordance with the code of ethics, as detailed in this document. Beyond legal obligation, every employee in the chain is expected to meet high standards of behavior in a personal and business sense when performing their duties. Every employee must act with integrity and reliability in all his fields of activity and in all his contacts with other employees, with the company and its owners, with customers and suppliers, with the public, with the business community, with government and public bodies.
All employees of the company must comply with the rules of this document, as mandatory in all aspects of their activity in the company, including making decisions concerning trade, investments, customers, partners, subcontractors, suppliers, and in any matter related to their occupation in the company. This document applies to all company activities in all countries where it provides products or services.

Behavior policy

The integration and its employees will operate in accordance with the laws of the State of Israel and the international laws, in every sense concerning the company or the management of its business in any country where it provides products or services. The combination and its employees will act with a sense of social responsibility even beyond the legal obligation to obey the law, in the pursuit of leading and setting an example.

Business partners

The company and its employees will do their best to work only with suppliers and subcontractors who manage their business honestly, fairly, according to the law, who avoid corruption and adhere to ethical behavior.

Business decency

The company and its managers believe that their success depends on their ability to stay ahead of their competitors. However, the employees of the company will conduct themselves honestly and fairly while fully adhering to the rules of professional ethics, even under the constraints of intense competition. Agam has built a reputation for itself as a decent, fair, and honest company, and all its employees and managers will act accordingly. The employees of the network and its managers are asked not to spread false, misleading, or defamatory information about competitors and their businesses on issues such as their stability, their financial liquidity, their skill, the quality of their products or their reliability as a supplier. Misuse of competitors’ trade secrets or classified business information must be avoided.

Fairness towards customers and integration

Customers and partners must be treated equally and fairly. If a conflict arises in the market between several partners or customers, it must be resolved based on fairness, while maintaining the company’s long-term interest.

Integrity and trust – customers, partners, the press, or the public must not be given incorrect information about the company, its technologies, its products and their quality, about schedules (for development or supply from production) and other business aspects, with the aim of deceiving or presenting a false representation.

Use of the integration assets

For the company of material, business, commercial and other assets. Any use of the company’s assets will be done legally and ethically, and solely for the business promotion of the company, as follows:

Material assets – all material assets such as products, raw materials, testing and production equipment, furniture and office equipment will be used exclusively to promote the business activity of the company. Their integrity must be maintained and they must not be used for private needs, they must not be given or lent to others and they must not be sold or disposed of without permission.

Intellectual property – Agam recognizes the importance of the subject of intellectual property and the need to maintain the confidentiality of information in the metal industry. Agam and its employees will take all the necessary steps to preserve and enhance the intellectual property of the company and will avoid any harm to the intellectual property rights of other companies.

Confidential information – employees of the company will refrain from accessing confidential information of the company and from using this type of information unless the information is necessary for them to fulfill their duties. Also, the employees will refrain from passing on the information to others, either during their work or afterwards, unless they have received express permission from the management of the company. This prohibition also applies to confidential information and intellectual property of other companies with which the company has signed a contract or a non-disclosure agreement (NDA).

Corruption and conflict of interest

Agam and the entire complex undertake not to give or accept bribes of any kind, not to offer or accept a bribe offer, not to give or accept any payment that is illegal and to avoid any corrupt business activity. In addition, the company funds must not be used to support political activity of any kind.

When making decisions or carrying them out, consider only the good of the company as a whole, and avoid considerations of personal or group benefit or considerations arising from personal relationships. Also, activities that may create a conflict of interest between the employee and the company must be avoided. It is prohibited to act for the purpose of generating personal profits or helping others to generate profits from business opportunities discovered while using business information of Agam or the entire company by virtue of the employee’s role in the company.

It is forbidden for the employees of the company to have business relations with other companies, to manage private businesses jointly with customers, with partners, with suppliers or with competitors of the company. Investing time and resources in any external business activity that takes up the employee’s time and diverts his attention from his current work, will be considered for this matter as a business relationship that violates the code of ethics.

Similarly, it is forbidden for the company employees to make decisions on issues related to the company relationship with another body, when there are personal relationships (family, friends) with the other party.

Computer and communication systems

The computing and communication systems of the company including personal computers, software and communication networks will be used for the needs of the company only. Do not use these systems to access, retrieve, send, distribute, display, store or print information that is intended to mislead, harass, defame, threaten, information that contains obscene, racist, pornographic material, or any information that is inconsistent with legal, professional, and ethical behavior.

Respect workers

Agam is committed to giving every existing employee and every potential employee an equal opportunity in all areas of work. In appointment to positions and professional promotion, the company prohibits discrimination based on age, race, sect, gender, religion, disability, sexual preference, marital status, or political opinion.

Every employee will enjoy fundamental rights according to law. The company and its employees will treat the various employees of the company with respect, equality, and appreciation. Every employee is entitled to freedom of thought, conscience, religion, and expression of opinion as long as he does not harm the feelings or rights of other employees.

All employees and managers must avoid any type of violence and rude or threatening behavior towards other employees in the company. Sexual harassment, physical or verbal violence, and any other activity that may cause an insulting, harmful or hostile atmosphere to one of the other employees of the company will be considered prohibited behavior. The company will respect the right to privacy of its employees, customers, and suppliers. The company and its employees will take extra care in handling personal information, storing it and preventing its distribution to ensure that privacy is maintained as much as possible.

Distribution of the rules of ethics

This document will be distributed to all employees of the company and new employees will receive a copy upon being hired. The document in its English version appears on the company website.

Every employee of the company will comply with what is stated in this document and will act in its spirit. Questions and clarifications regarding the meaning or application of any clause in the document can be directed to the direct manager, the VP of Human Resources, or the manager of the legal department. Every manager in the company must make sure that the employees under him are aware of the code of ethics and comply with it. This responsibility also includes informing and training employees to ensure knowledge and understanding of the code. A manager, who learns of the violation of the code by one of the employees under him, will immediately report it to one of the vice presidents of the company.

Violation of the rules of ethics

Violation of the code of ethics may result in disciplinary measures being taken against the violating employee, including dismissal, and/or legal measures being taken against him.

Any report or complaint about a violation of this code of ethics can be directed to the human resources department or any VP in the company. Each report will be thoroughly and sensitively examined, while maintaining absolute confidentiality.

The company, its employees and managers will not fire, suspend, threaten, harass, discriminate against, take revenge, or take any disciplinary measures against an employee who reported the violation of the code of ethics by another employee. On the other hand, the company may take disciplinary measures against an employee who knowingly made a false report and did not act in good faith.
